NAGA-WAUKEE MEN’S GOLF CLUB CONSTITUTION


PREAMBLE
We, the members of the Naga-Waukee Men’s Golf Club, recognize and agree that each member has certain rights, privileges and duties as a member of this club. In order to avoid any misunderstandings as to the nature of these rights, privileges and duties, we hereby declare that the following written articles set forth and define the terms and the conditions under which and by which we are associated.

ARTICLE I - NAME
The name of the club shall be the Naga-Waukee Men's Golf Club.

ARTICLE II – PURPOSE
The purpose of this club shall be to promote amateur public links golf through its program at the Naga-Waukee Golf Course and to enable the members of this club to enjoy playing golf in the company of congenial companions. The club is organized as a non-profit unincorporated association solely for the pleasure and recreation of its members and substantially all of its activities are limited to these purposes. The club shall not pursue or engage in any business activity outside the scope of its purpose.

ARTICLE III – MEMBERSHIP
The Executive Board may establish more than one class of membership in this club and shall determine the maximum total number of active members in each membership class each year. Members on Leave of Absence from the club shall not be counted as active members.

ARTICLE IV - MEMBERSHIP CHARGES
Section 1. The Executive Board shall determine the total annual charges for each class of club member. These charges will include the weekly greens fees for Thursday golf (for regular and senior 18-hole members), the cost of all club outings, the handicap service and all other costs of operating the club. Weekly greens fees shall be held in trust and expended solely for greens fees charges and shall not be considered club property until after the final week of golf and after all greens fees charges for the year have been paid, at which time any unexpended funds shall become club funds and considered additional dues and fees receipts. The club will be supported primarily by membership dues and fees.

Section 2. Club members on Leave of Absence shall not be required to pay an annual membership charge.

Section 3. The Executive Board shall determine the billing process and payment due date for membership dues and fees. All members shall pay their membership dues and fees by the due date. Failure to make payment by the due date will result in the forfeiture of their membership. If there are unforeseen circumstances which prevent payment by the due date, the member must notify the Treasurer and request an extension, but the extension cannot exceed 10 days.

Section 4.  Any club member who has paid their membership dues and fees for the year and formally requests to withdraw from the club prior to the first week of play of the Naga-waukee Mens Golf Club season will be given a full refund of their membership dues and fees. After the start of the season, but prior to June 1st, any club member who formally requests to withdraw from the club will be charged a 30% administrative fee and refunded the balance of their membership dues and fees. After June 1st, no refunds of membership dues and fees will be made.

ARTICLE V - OFFICERS
Section 1. The officers of this club shall be President, Vice-President, Secretary and Treasurer. These officers will comprise the Executive Board of the club. The President, or his Executive Board designee, is empowered to enter into contracts with third parties binding the club.

Section 2. Any active member of the club shall be eligible to serve as an officer of the club. However, no member may be elected President of the club unless he has already served as Vice-President, Secretary or Treasurer of the club for at least one year and no member may be elected President of the club for more than two (2) consecutive terms.

Section 3.The officers shall be elected for a one-year term at the Annual Meeting each year. Newly elected officers shall assume their duties as of the November 1st immediately following their election and shall serve until their successor has been elected.

Section 4. If an officer of the club vacates his office for any reason, the President shall have the authority to appoint a successor for the remainder of the vacated term. If the President of the club vacates his office for any reason, the Vice-President shall automatically become the President of the club until the next annual election and shall appoint a new Vice-President.

ARTICLE VI - DUTIES OF OFFICERS
Section 1.
The President shall preside at all meetings of the club, shall function as the chief executive officer of the club and shall be an ex-offcio member of all committees of the club. He shall also perform such other duties that may be prescribed by the Constitution or Bylaws of the club.

Section 2.The Vice-President shall assist the President and shall perform such duties as are assigned to him by the President. The Vice President shall assume the duties of the President during the President’s absence or disability. . He shall also perform such other duties that may be prescribed by the Constitution or By-laws of the club.

Section 3.The Secretary shall keep a record of all meetings of the club and shall issue notification of all meetings to the members. He shall maintain the current membership records of the club and shall be responsible for all official correspondence, papers and documents belonging to the club. He shall be responsible for the club website. He shall perform the duties of the President in the event both the President and Vice-President are absent or impaired by disability. He shall also perform such other duties that may be prescribed by the Constitution or By-laws of the club.

Section 4.The Treasurer shall collect all moneys due the club, disburse funds in payment of club obligations and retain a permanent record of all financial transactions of the club. He shall maintain non-interest bearing accounts in the name of the club and all club receipts and disbursements shall be transacted through these accounts. The Treasurer shall provide a monthly reconciliation of the checking account and the club records to the President.

ARTICLE VII - FISCAL YEAR
The fiscal year of the club shall be from November 1 to October 31.

ARTICLE VIII – CLUB DISSOLUTION
Upon dissolution of the club, any remaining funds shall be paid to Waukesha County for the benefit of Naga-Waukee Golf Course.

BY-LAWS (2017)

ARTICLE I - MEETINGS
Section 1.A regular business meeting shall be held in April of each year to discuss and vote on such items and matters as placed on the agenda by the Executive Committee.

Section 2.A regular business meeting shall be held in June or July of each year to discuss and vote on such items and matters as placed on the agenda by the Executive Board. The nomination of officers for the following year shall take place at this meeting.

Section 3. The Annual Meeting shall be held in September of each year to conduct the election of officers for the following year and to discuss and vote on such items and matters as placed on the agenda by the Executive Board.

Section 4. Special business meetings may be held at such date, place and time as designated by the President.

Section 5. Social meetings may be held at such place, time and date as voted upon by members at any business meeting.

Section 6. The Secretary shall issue notice of all regular and special meetings to all active members at least 15 calendar days in advance of such meetings.

ARTICLE II - VOTING
Section 1. All members of the club present at any business meeting shall be entitled to vote on any matter brought to a vote at that meeting. Each member present shall be entitled to cast one vote for each motion or matter brought to a vote. Members not present at a meeting forfeit their voting rights. No person may vote by proxy for any member not present.

Section 2. Voting on motions duly brought before the club at a regular or special meeting shall be by a show of hands. At the discretion of the President or if a request is made by at least 3 members present at any meeting, the exact count of any vote may be made and shall be reflected in the minutes of the meeting.

Section 3. Voting for Officers conducted at the Annual Meeting shall be by secret ballot. However, if only one member is nominated for any office, the President may dispense with the secret ballot and ask for a show of hands in favor of that candidate.

Section 4. In the event that a vote on any issue or matter results in a tie, the Executive Board shall determine the outcome by secret vote of the Executive Board. In the event that the vote is still tied, the President shall decide the final outcome.

ARTICLE III - COMMITTEES
Section 1. The permanent standing committees of the club shall be the Executive Committee, the Membership Committee, the Handicap Committee, the Competition Committee, the Nominating Committee and the Audit Committee. The President shall serve as the chairman of the Executive Committee and shall appoint the chairmen of the other standing committees.

Section 2. The Executive Committee of the club shall consist of the Executive Board, the immediate past President and the current chairman of any existing club committee. This committee shall meet as needed between November and March of each year to plan the club calendar for the year and to set the agenda for the April business meeting. The President shall determine the time and place of these meetings.

Section 3 The Membership Committee shall maintain an on-line data base with the names, addresses, E-mail addresses and telephone numbers all current members of the club and copies of club rosters from prior years. This committee shall review the handicap scores posted by current club members as of August 1st each year and shall compile a list of those members who have not posted at least 10 scores by that date. These members will be automatically placed on probation for the following year. The Membership chairman shall notify those members on this list of their probationary status. A club member on probation who does not post at least 10 handicap scores by August 1st of that year will be forfeit his club membership unless the Executive Board determines that there are significant mitigating circumstances.

Section 4. The Handicap Committee shall protect and promote the integrity of the USGA Handicap System to provide all NMGC member fair and equitable competition. The responsibilities of the Handicap Committee are as follows:

  • To apply, secure and maintain USGA Handicap License for the club.
  • To assist in the education of club members and the resolution of handicap-related issues involving club members.
  • To propose club policy to the Executive Committee.
  • To ensure the proper application of the USGA Handicap System in club events.
  • To represent membership to governing bodies of golf (i.e. WSGA, UGSA) on all matters relating to handicap establishment and maintenance.
  • To establish and notify club members of any local rules for intra-club play.

Section 5. The Competition Committee shall consist of the Tournament Chairman, the Handicap Chairman, and the Outing Chairman, one of whom will be appointed annually by the President to serve as chairman of this committee. The Competition Committee will coordinate all club tournaments and outings and will strive to provide “Gold Standard” competition within the club for the enjoyment of its members.

Section 6. The President shall appoint the 3 member Nominating Committee not later than June 15th each year. This committee shall recommend a slate of candidates for the club Officers and shall present their recommendations at the June/July business meeting.

Section 7. The Audit Committee shall cause the books and records of the club to be audited within ninety (90) days after the close of the fiscal year. This audit may be performed by three (3) members of the club or by a certified public accountant.

Section 8. The President shall establish such additional committees as he sees fit and shall appoint the members and chairman of each committee. The President shall determine the scope, purpose and jurisdiction of each committee. These committees shall meet at such times and places as determined by their respective chairmen and shall make specific recommendations to the President regarding all matters referred to them that are properly within their jurisdiction.

Section 9. Committees have no express or implied powers to enter into contracts with third parties binding the club or any of its members without the expressed consent of the membership as evidenced by motion duly made, seconded and approved by vote at a regular or special business meeting.

Section 10. Committee chairmen shall make a report of the activities of their committee at each regular business meeting, such report to include any recommendations that have been agreed upon by a majority of the committee members.

Section 11. The President has the authority to remove or replace the chairmen and/or any members of any club committee, except for the elected officers.

ARTICLE IV - AMENDMENTS
The Constitution and/or By-Laws of the Naga-Waukee Men’s Golf Club may be amended by a 2/3 majority vote of those members present at any regular or special meeting of the club provided that notice of the proposed amendment(s) to be voted on at any meeting is distributed to all members at least 15 days in advance of the meeting at which the vote shall take place.
